TERMS AND CONDITIONS FOR MEMBERS AND GUESTS
These Terms and Conditions ("Agreement") govern the relationship between the VANTEC Angel Network Inc. (“VANTEC”), the members ("Members") and attendees of events (“Attendees” or “Guests”). By applying for membership, participating in activities, or using any services provided by VANTEC, you agree to comply with the following terms and conditions.
1. Acceptance of Terms
By becoming a Member of VANTEC, participating in activities, or using any services provided by VANTEC, you agree to abide by these Terms and Conditions and all applicable laws and regulations. If you do not agree to these Terms, you must refrain from participating in VANTEC.
2. Membership Eligibility
Members must be accredited investors, as defined by the Canadian Securities Administrators under National Instrument 45-106 (page 1 (1.1)) or must represent accredited investors that are actively investing in early-stage companies.
Some common ways to qualify as an accredited investor are to (j) own more than $1M in net financial assets; (k) over $200K in net income alone or over $300K when combined with a spouse; and (l) over $5M in net total assets. Make sure to read the definitions for the exact wording.
Members should be actively investing in early-stage companies (“Issuers”).
VANTEC reserves the right to approve or deny membership applications based on its criteria, at its sole discretion.
Membership is personal and non-transferable.
3. Expectations and Responsibilities
Members and Attendees should be forthcoming with the early-stage companies about their intentions. If you’re not interested in investing, be honest and provide constructive feedback.
Members and Attendees should strive to create value for the early-stage companies. Share your experiences, find the areas they need support and make connections to fill gaps in their funding, expertise, capacity, network and customer pipeline.
Members and Attendees are responsible for conducting their own due diligence on any investment opportunities presented by VANTEC.
Members and Attendees must act professionally, ethically, and in a manner that upholds the integrity and reputation of VANTEC.
Members and Attendees must comply with all confidentiality requirements and non-disclosure obligations as detailed in this Agreement.
Members must participate in Organization activities such as meetings, events, and workshops to the extent outlined in their membership level.
As a member you agree to receive emails from VANTEC regarding important notices (e.g. changes to the terms and conditions), early access to social events, and our pitch events.

4. Membership Fees
Membership in VANTEC is subject to the payment of an annual membership fee as determined by VANTEC. The current membership fees are:
$600 (+GST) for a full membership (in person meetings and online content)
An additional $200 (+GST) is applied for each additional seat added to a membership. Additional seats may only be added for family members and colleagues at a registered investment fund.
$400 (+GST) for a partner fund membership (same access as the full membership)
This membership is available for shareholders of WUTIF Capital and e-Fund.
It applies to members that are individuals only.
$300 (+GST) for an online membership (online content only)
An additional $100 (+GST) is applied for each additional seat added to a membership. Additional seats may only be added for family members and colleagues at a registered investment fund.
The membership fee is non-refundable unless otherwise specified in writing by VANTEC.
Failure to pay the membership fee in a timely manner may result in the suspension or termination of membership privileges.
5. Investment Opportunities
VANTEC will present Members and Guests with investment opportunities in early-stage companies, which are private offerings made by early-stage companies. These will be presented by VANTEC at events and via its deal room on Dealum.
Opportunities presented by VANTEC are shared for informational purposes only and do not constitute financial advice.
Members and Guests are solely responsible for evaluating, conducting due diligence on, and deciding whether to invest in any opportunities presented by VANTEC.
VANTEC is not an investment adviser or underwriter for Members or Guests for any early-stage company and takes no responsibility for the accuracy or completeness of any information about any early-stage company communicated to Members and Guests by any means or by any person at any time.
Members and Guests understand that all negotiations concerning investments (including price, percentage ownership interest and other terms) will take place directly between the Member or Guest and early-stage companies and that VANTEC is not acting as an agent or principal or in any other capacity in those negotiations or transactions.
Members and Guests understand that if an early-stage company wants them to agree to other restrictions on the use of their confidential information, they may require that the Member or Guest enter into a separate nondisclosure agreement before providing the confidential information.
Members and Guests understand that they may learn of private offerings through VANTEC. These private offerings are subject to provincial and national securities laws, which prohibit, among other things, the communication or retransmission to anyone of information received by the Member or Guest from early-stage companies through VANTEC. Such information is for the sole use of the Member or Guest and may not be reviewed by or shared with others without prior consent from the early-stage company to which the information pertains to.
VANTEC does not guarantee or accept liability for any investment made by Members or Guests.
VANTEC makes no representations or warranties about any early-stage company, expressed or implied.
6. Guests
Guests are not members of VANTEC, but are interested in joining VANTEC as a member and are invited to attend an event hosted by VANTEC.
Any Guests that attend an in person event should be qualified to invest (an accredited investor) and either be actively investing or interested in becoming an angel investor.
Any guests or non-members who wish to attend an in person event must first be approved by VANTEC. Schedule a call with Aaron (CEO - VANTEC) or contact him at aaron@vantec.ca to introduce yourself and learn more about becoming a VANTEC member.

7. Media and Promotional Release
By attending an event hosted by VANTEC, online or in person, Members and Attendees grant VANTEC the right to capture, record, and use your image, likeness, voice, and/or statements in any video, photography, or audio recordings taken during the event. You agree to the following terms:
Grant of Rights
You hereby grant VANTEC and its affiliates, agents, and partners the irrevocable, perpetual, worldwide right and permission to use, reproduce, edit, distribute, display, broadcast, and publish your likeness, voice, and any recorded content (including photographs, videos, and audio recordings) taken at the event for any legal purpose, including but not limited to:
Promotional materials (e.g., brochures, flyers, advertisements)
Online content (e.g., websites, social media platforms)
Media coverage (e.g., news reports, blog posts)
Event archives or future event promotion
No Compensation
You understand that you will not be entitled to any compensation, royalties, or other payment related to the use of your likeness, voice, or any recorded material, whether in promotional materials or other media formats.
Release of Liability
You hereby release and discharge VANTEC and its representatives from any and all claims, demands, or causes of action that you may have related to the use of your likeness, voice, or statements, including claims for invasion of privacy, defamation, or misrepresentation.
Consent to Editing
You acknowledge and agree that VANTEC may edit, alter, or modify the images, videos, and recordings at its discretion, and that such edits may be made without further approval or review by you.
No Obligation to Use
VANTEC is under no obligation to use any photographs, videos, or recordings containing your image or voice, and may choose not to do so at its discretion.
Scope of Use
This release applies to all media formats, including print, digital, and broadcast, and may be used in any geographical location.
Minors
If you are under 18 years of age, your parent or legal guardian must agree to these terms on your behalf.
8. Confidentiality
Members and Guests acknowledge that, through their participation in VANTEC, they may receive confidential, proprietary, or non-public information about potential investment opportunities, VANTEC, or its Members ("Confidential Information").
Any Confidential Information will be labeled as such.
Members and Guests agree to keep all Confidential Information strictly confidential and not disclose it to any third parties, except as required by law.
The confidentiality obligation will survive the termination of membership in VANTEC.
9. Code of Conduct
Members and Guests must adhere to the highest standards of professionalism and ethics when engaging with other Members, early-stage companies, Attendees, and third parties affiliated with VANTEC.
VANTEC reserves the right to suspend or terminate membership if a Member’s behaviour is deemed unethical, disruptive, or harmful to VANTEC’s reputation or the community.
10. Termination of Membership
VANTEC reserves the right to terminate or suspend a Member's participation at its sole discretion, with or without cause, upon written notice.
Termination of Membership for breaching this Agreement will be ineligible for a refund.
Members may terminate their membership by providing written notice to VANTEC. Membership fees are non-refundable upon termination.
Upon termination, all rights and privileges associated with the membership will be revoked.
11. Limitation of Liability
VANTEC shall not be held liable for any financial losses, damages, or claims resulting from a Member's or Guest’s investment activities, decisions, or involvement in opportunities shared by VANTEC.
Members and Guests acknowledge that investments in early-stage companies carry inherent risks, including the risk of complete financial loss.
VANTEC does not provide legal, tax, financial, or investment advice. Each Member and Guest is responsible for consulting with their own professional advisors before making any investment decisions.
12. Advertising
The opportunities presented by VANTEC are private offerings. VANTEC and the early-stage companies that present at the meetings do not conduct any advertising or general solicitation.
13. Indemnification
Members and Guests agree to indemnify and hold harmless VANTEC, its officers, directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with their participation in VANTEC, including their investment activities and breach of these Terms and Conditions.
14. Intellectual Property
VANTEC retains all intellectual property rights related to the content, materials, and resources provided through its programs, services, and events.
Members and Guests may not use, reproduce, or distribute any intellectual property owned by VANTEC without express written permission.
15. Data Protection and Privacy
VANTEC may collect and use personal data of Members in accordance with applicable data protection laws.
Members profiles are kept private on Dealum. Only VANTEC Admins have access to your profile and contact information on Dealum.
Members agree to provide accurate information and update VANTEC promptly in case of any changes to their personal details.
VANTEC will take reasonable steps to ensure the security of Members’ data but cannot guarantee its absolute protection against unauthorized access or breaches.
16. Third-Party Services
VANTEC may, at times, recommend or collaborate with third-party service providers for certain activities (e.g., legal services, accounting, or due diligence).
VANTEC is not responsible for the quality, reliability, or performance of services provided by third-party providers.
Members and Guests acknowledge that they are engaging third-party services at their own risk.
17. Amendments to Terms and Conditions
VANTEC reserves the right to amend these Terms and Conditions at any time. Members will be notified of any changes, and continued participation in VANTEC following such amendments constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue to apply in full force and effect.
18. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of British Columbia, Canada.
Any disputes arising from these Terms and Conditions or participation in VANTEC will be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada.
19. Entire Agreement
These Terms and Conditions constitute the entire agreement between the Member, Attendees and VANTEC, superseding any prior agreements, representations, or understandings related to membership.
By joining VANTEC Angel Network Inc. or attending events hosted by VANTEC Angel Network Inc., you agree to these Terms and Conditions.
